Terms and Conditions

These Terms and Conditions govern your use of Nextera Cloud's services. By using our services, you agree to these terms.

1. Interpretation

1.1 Definitions

In these Conditions, the following definitions apply:

  • Additional Retention Period: A period of time agreed between the Client and Nextera Cloud for which Digital Assets will be kept on archive servers.
  • Background IPRs: Intellectual Property Rights owned or licensed to Nextera Cloud, excluding Deliverables provided to the Client.
  • Business Day: A day (other than Saturday, Sunday, or public holiday) when banks in London are open for business.
  • Charges: Fees payable for the Services.
  • Commencement Date: The date on which the Contract begins.
  • Company: Nextera Cloud.

1.2 Construction

Rules for interpreting these terms:

  • References to a person include natural persons, corporate or unincorporated bodies.
  • References to "writing" or "written" include email correspondence.

2. Basis of Contract

The Order constitutes an offer to purchase services under these Conditions. Acceptance is deemed when Nextera Cloud begins work.

3. Supply of Services

Nextera Cloud will provide services as specified in the Quotation with reasonable care and skill.

4. Client’s Obligations

The Client must:

  • Ensure Order details are accurate.
  • Provide necessary materials and access for Nextera Cloud to perform the services.

5. Charges and Payment

Charges are as outlined in the Quotation and are payable in full by the due date.

6. Intellectual Property Rights

All intellectual property rights created by Nextera Cloud remain its property unless otherwise agreed in writing.

7. Title and Risk

Risk in the Deliverables passes to the Client upon delivery; title transfers upon full payment.

8. Confidentiality

Both parties must keep confidential information secure and not disclose it without consent.

9. Limitation of Liability

Nextera Cloud's liability is limited to the value of the Services provided, excluding consequential losses.

10. Termination

Either party may terminate the contract for material breaches or as otherwise specified in these terms.

11. General

The contract is governed by English law, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

12. Data Protection

Nextera Cloud complies with the Data Protection Act 2018. For more details on how your data is used and stored, please see our Privacy Policy.
